1. About this Agreement

This End User Licence Agreement (“Agreement“) is between
Ward Personnel Limited, a company incorporated in Ireland
with its registered office at [Ward Personnel registered address]
(company number [CRO number]) (“Ward Personnel“, “we“,
us“) and you, the authorised user of the Ward Personnel
intranet application (the “System“). By accessing or using
the System you agree to be bound by this Agreement.

2. Internal-use Software

The System is internal-use software provided solely to authorised
employees, officers, contractors and agents of Ward Personnel and to
designated representatives of Ward Personnel’s clients for the purpose
of managing recruitment, personnel, timesheet, invoicing and related
business operations. The System is not offered to, or licensed for use
by, the general public.

3. Licence Grant

Subject to the terms of this Agreement, Ward Personnel grants you a
limited, non-exclusive, non-transferable, non-sublicensable, revocable
licence to access and use the System solely for the legitimate business
purposes for which access has been granted to you, and only for so long
as that access is authorised.

4. Restrictions

You may not:

  • access the System other than via credentials issued to you;
  • share your credentials, or permit any other person to access the System under your account;
  • copy, modify, reverse engineer, decompile, disassemble or create derivative works of any part of the System;
  • extract, export or further process data held in the System other than in the ordinary course of your duties;
  • use the System to process personal data of any individual in breach of applicable data protection law; or
  • use the System for any unlawful purpose or in any manner that could damage, disable, overburden or impair it.

5. Third-Party Services

The System integrates with third-party services including, without
limitation, Intuit QuickBooks Online, RecruitCRM and Arithon. Use of
those services is subject to the terms and privacy notices of their
respective providers, which are independent of this Agreement.

6. Intellectual Property

The System, including all software, design, content and underlying
intellectual property, is and remains the property of Ward Personnel
and/or its licensors. No rights are granted to you under this Agreement
other than the limited licence expressly set out above.

7. Monitoring and Logging

Your access to and use of the System may be logged and monitored by
Ward Personnel for legitimate business purposes including security,
audit, compliance, and operational support. Records of activity within
the System may be retained in accordance with Ward Personnel’s data
retention policies and applicable law.

8. Confidentiality

The System contains confidential information including personal data
of employees, candidates and clients. You must keep all information
accessed via the System strictly confidential, must not disclose it
outside Ward Personnel except as required by your duties or by law,
and must comply with Ward Personnel’s information security and data
protection policies at all times.

9. No Warranty

The System is provided on an “as is” and “as available” basis. To
the fullest extent permitted by law, Ward Personnel disclaims all
warranties, express or implied, including warranties of merchantability,
fitness for a particular purpose and non-infringement. Ward Personnel
does not warrant that the System will be uninterrupted, error-free or
secure against unauthorised access.

10. Limitation of Liability

To the fullest extent permitted by law, Ward Personnel’s total
aggregate liability under or in connection with this Agreement is
limited to EUR 100. Ward Personnel shall not be liable for any indirect,
consequential, special or exemplary damages, or for any loss of profits,
revenue, data or goodwill, arising out of or in connection with your use
of the System. Nothing in this Agreement excludes any liability which
cannot lawfully be excluded.

11. Termination

This Agreement, and your right to access the System, terminate
automatically when your authorisation to use the System ends (for
example, on the cessation of your employment or engagement, or on
Ward Personnel’s withdrawal of access). Ward Personnel may suspend or
terminate your access at any time, with or without notice, where it
considers it appropriate to do so.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of Ireland. The courts of
Ireland have exclusive jurisdiction to settle any dispute or claim
arising out of or in connection with this Agreement.

13. Changes

Ward Personnel may update this Agreement from time to time. The
current version is always the version published at this URL.
